Overview
Al Hill is a veteran business lawyer representing large and small companies. His clients include manufacturers, technology developers and marketers, professional and technical service companies, retailers, and wholesale distributors. As a corporate lawyer, he advises on various operational, financial, and governance issues, including the board of directors’ duties, mergers and acquisitions, lending, antitrust (including resale price maintenance), and other compliance issues. He is frequently consulted in shareholder disputes, both public and private. He also assists clients in raising equity capital from private equity and venture capital firms and debt from asset-based and cash-flow lenders.
Al began his career at an Atlanta-based law firm, where he advised technology companies in general corporate and M&A matters. He then spent seven years with the former National Service Industries Inc. (now known as Acuity Brands Inc.), a NYSE-listed industrial conglomerate, serving as senior assistant counsel and director of mergers and acquisitions. After leading a leveraged buyout in the industrial chemical industry, Al returned to private practice in 2006. He lives in Atlanta with his wife, Pam, and three children.
Experience
- Represented a NYSE-traded industrial conglomerate in $580 million acquisition of a publicly-traded lighting manufacturer.
- Represented a private equity-owned plastics manufacturer in its $80 million acquisition of a flexible packaging company.
- Represented a privately held consumer products company from its inception through its sale for $120 million to a private equity-backed industry competitor.
- Represented majority shareholders in sale of a heavy equipment distributor for $200 million.
- Lead counsel for a private equity firm in a series of acquisitions in the artificial turf industry, leading to a successful exit via sale to another private equity company, with current valuation in excess of $1 billion.
- Represented a private equity firm in consolidation of automotive service businesses in the Western United States.
- Represented management in multiple refinancings of technology services company with ultimate valuation in excess of $1 billion.
- Represented German-based aerospace manufacturer in sale of subsidiary to synergistic acquirer.
- Served as US counsel for Austrian paper products manufacturer.
- Represented US-based software developer in separation from British parent and subsequent sale to Dutch competitor backed by US private equity firm.
