Overview

Wess Helton is an associate in the firm’s Corporate & Tax practice group, focusing on general corporate and business transactional law with an emphasis on private equity, mergers and acquisitions, and corporate governance. In addition, Wess advises clients on debt and equity financings, including the representation of borrowers across a range of energy and infrastructure transactions.

During law school, Wess served on the Editorial and Managing Boards of the Georgia Law Review, was Vice President of the UGA Law Corsairs and Event Chair and 3L Advisor off the Federalist Society.

  • Represented a leading global investment firm in its $1.6 billion take-private of a global manufacturer that specializes in environment products.
  • Represented a private investment firm in its sale of a Michigan-based modular building company that also offers housing.
  • Represented a private investment firm in its acquisition of a collision repair chain.
  • Represented the sponsor in the sale of two onshore wind projects located in Texas.
  • Represented a private investment firm and one of its portfolio companies in the acquisition of a company that provides temporary storage tanks and containers for hazardous and non-hazardous waste.
  • Represented a private equity firm in its acquisition of a global provider of integrated risk management solutions.
  • Represented an investment firm and its portfolio company in connection with a $550 million debt and tax equity financing raise for certain battery storage projects.
  • Represented an investment management company on its definitive agreement with an American oil and gas company to jointly fund their first large-scale direct air capture plant with the investment management company to invest up to $550 billion in the Texas project.
  • Represented a global investment agency and its portfolio company in a $225 million corporate credit facility to support the development of utility-scale battery energy storage projects.
