Overview

Niki Nourollahi is a member of the Firm’s Corporate & Tax Practice Group. She has experience assisting with corporate and tax securities transactions. She has assisted with updating proxy statement disclosures, equity incentive plans, and corporate governance principles in line with the SEC, Glass Lewis, and ISS requirements. She has also helped ensure corporate compliance with Nasdaq and NYSE guidelines through the development of various company policies, such as anti-hedging and clawback policies and reviewed and confirmed SEC compliance for corporate 8-K and 10-K filings related to employment agreements. Niki has also provided assistance with drafting equity compensation plans and with drafting numerous corporate legal documents, including LLC Agreements, shareholder agreements, operating agreements, and equity purchase agreements.

Niki also has experience in preparing legal due diligence checklists for asset purchase agreements and has helped facilitate corporate mergers by drafting essential documents like Plans of Merger and Articles of Merger. She has assisted with creating legal entities in GA, FL, AL and DE by drafting and filing Certificates of Formation, and has provided support with capitalization tables via stockholder management platforms. Niki has helped draft private placement memorandums, contribution agreements, and corporate by-laws to maintain up-to-date legal standards and corporate transparency under the 2024 Corporate Transparency Act, including filing BOI reports.

Niki has drafted petitions for letters of administration in relation to various and estate and probate matters, and she has helped manage case files of unaccompanied minor children in immigration proceedings, including drafting petitions for custody, special orders, and other court filings with the U.S. Citizenship and Immigration Services (USCIS) in connection with Kids in Need of Defense (KIND) Atlanta.

Niki obtained her Juris Doctor from Georgia State University (GSU) College of Law. In the spring of 2022, Niki was part of an exchange program at Aarhus University in Denmark, where she studied International Law for six months abroad. Upon her return, Niki was nominated and selected as GSU’s “Study Abroad Student of the Year” as part of the 2023 International Education Awards. She also was featured for a “Student Spotlight” print and online publication in the GSU College of Law Magazine Fall 2023 Issue. Furthermore, Niki was an active member of the Sports & Entertainment Law Society.

She started her legal studies at Mercer University where she was a Sweet 16 Finalist in the 2021 Lawson Moot Court Competition, to which she was invited to join the Mercer Moot Court Board. She was part of Phi Delta Phi International Legal Honor Society, and the Association of Women Law Students. She was also selected as a 2021 recipient of the Atlanta Bar Association’s Minority & Diversity Clerkship Program.

Prior to studying law, Niki earned her B.B.A in Managerial Sciences with a Minor in English from Georgia State University, where she graduated magna cum laude. While obtaining her degree, she served as President of the Persian Student Association, VP of Membership Recruitment for Alpha Omicron Pi Fraternity and Staff Writer and Layout Editor for Grey Matters Psychology Newsletter. Niki also had the opportunity to attend the Toulouse Business School in Toulouse, France as an exchange student during the fall of 2017, where she studied International Business for six months abroad.

In her free time, Niki enjoys traveling, reading, cooking and learning about Scandinavian culture.
