Overview

Will Kim is a member of the firm’s Corporate & Tax Practice Group where he focuses on advising private equity sponsors, private and public companies and entrepreneurs on the purchase and sale sides of mergers and acquisitions, corporate and commercial transactions, equity and debt arrangements, corporate governance, and company formations. He has also advised clients from a diverse range of industries, including technology, healthcare, telecommunications, industrial services, building solutions and construction, franchising, restaurants and retail, consumer products, frozen foods and snack foods, advertising and marketing, education, and hospitality.

As a business focused attorney, Will offers his clients sound legal advice and strategic guidance, helping them to achieve their business objectives. He has extensive experience drafting and negotiating complex corporate, transactional and commercial agreements, managing legal and corporate governance concerns, and advising clients throughout their business cycle.

Will has previously served as General Counsel for a large multinational managed technology solutions corporation and built the legal department and compliance regime for the company. With this experience, Will possesses a deep understanding of the concerns and challenges of technology businesses and corporate clients. While in this role, Will regularly advised C-level and divisional executives on all aspects of business operations, acquisitions and growth strategy, litigation, environmental and social concerns, regulatory compliance, and corporate governance.

Outside of work, Will is an active member of several civic and community organizations. He has served as former member of the Board of Directors for the Korean American League for Civic Action (KALCA) and the former Action Council Co-Chair of the Coalition for Asian American Children and Families (CACF).

Experience

  • Represented Canada based privately held frozen fruit business in asset acquisition of frozen fruit operations in the U.S. and Mexico from a publicly traded company.
  • Represented an Orlando based residential home building solutions provider in sale of the business to private equity.
  • Represented a U.S. based private equity-backed, international information technology, managed services and managed cyber security services company in multiple acquisitions and as General Counsel.
  • Represented private equity in purchase of multiple breakfast restaurant franchise stores from major franchisee.
  • Represented entrepreneurs and investor group in the sale of a controlling interest in multiple fitness store franchises to corporate.
  • Represented private investor in an investment in early-stage custom air soft gun company.
  • Represented entrepreneurs of Orlando based luxury RV coaches in sale of business to private equity
  • Represented private equity in acquisition of solid waste subsidiaries of publicly traded company.
  • Represented entrepreneurs in the sale of glass and construction business.
  • Represented entrepreneurs and investor group in sale of organic all-natural Greek yogurt snack business.
  • Represented private equity sponsor in acquisition of metal recycling business.
